Welcome to SheetVault. By accessing our website at sheetvault.app, signing up for our waitlist, or using any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you and SheetVault ("we," "us," or "our").

2. Service Description

Current Status: SheetVault is currently in pre-launch phase. Our website currently provides:

• Information about our upcoming product
• A waitlist for early access notification
• Email updates about product development

Future Product: Upon launch (estimated January 2026), SheetVault will provide a Google Sheets extension that automates file organization, bulk uploads, smart naming, and Drive link insertion. These Terms will be updated at launch to reflect the full product offering.

3. Waitlist Registration

By signing up for our waitlist, you:

• Provide a valid email address that you have authority to use
• Consent to receive emails from us about SheetVault (you may unsubscribe at any time)
• Understand that waitlist signup does not guarantee early access or any specific benefits
• Acknowledge that product features, pricing, and launch dates are subject to change

4. User Conduct and Acceptable Use

You agree not to:

• Provide false, inaccurate, or misleading information
• Use automated systems (bots, scripts) to submit multiple waitlist signups
• Attempt to circumvent our rate limiting or security measures
• Engage in any activity that could harm, disable, or impair our website
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Harass, abuse, or harm other users or our team
• Attempt to gain unauthorized access to our systems

5. Intellectual Property Rights

All content on our website, including but not limited to text, graphics, logos, images, design, and software, is the property of SheetVault and is protected by copyright, trademark, and other intellectual property laws. "SheetVault" and related logos are trademarks of SheetVault. You may not use our trademarks without prior written consent.

5.3 Feedback

If you provide us with feedback, suggestions, or ideas about SheetVault, you grant us a worldwide, royalty-free, perpetual license to use, modify, and incorporate such feedback into our product without any obligation to you.

6. No Warranties

IMPORTANT: Our website and waitlist service are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the website will be uninterrupted, secure, or error-free

SheetVault is under development. Features, pricing, and availability are subject to change without notice. We make no guarantees about future product performance or launch dates.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEETVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR WEBSITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

All pricing information displayed on our website is subject to change without notice. The pricing shown ($7/month) is an estimated early access price and is not a binding commitment. Actual pricing at launch may differ.

• Change pricing at any time before or after launch
• Offer different pricing tiers or subscription plans
• Discontinue the product or waitlist at any time
• Limit the number of early access spots

10. Third-Party Services

Our website uses third-party services (Resend for email, Google Analytics for tracking, Vercel for hosting). Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

When SheetVault launches, it will integrate with Google Sheets and Google Drive, which are subject to Google's Terms of Service.

12. Termination

12.1 Your Right to Terminate

You may terminate your waitlist registration at any time by clicking "Unsubscribe" in any email we send you or by contacting us at hello@sheetvault.app.

12.2 Our Right to Terminate

We reserve the right to suspend or terminate your access to our website or waitlist at any time, without notice, for any reason, including if we believe you have violated these Terms.

12.3 Effect of Termination

Upon termination, your email address will be removed from our waitlist, and you will no longer receive updates from us. Sections of these Terms that by their nature should survive termination will survive (including intellectual property, disclaimers, and limitation of liability).

13. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify waitlist members via email (for significant changes)
• Post the updated Terms on our website

Your continued use of our website after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our website and unsubscribe from our waitlist.
